Purpose
Successfully marketing wedi products requires product knowledge, training, and technical expertise. wedi supports its distribution and retail partners through comprehensive training programs, educational resources, and technical tools designed to ensure proper specification, installation, and long-term performance of wedi systems.

In order to protect the integrity and perceived value of the wedi brand and its high-quality products, while also allowing resellers to maintain reasonable margins that support investment in training and customer service, wedi has adopted this Minimum Advertised Price (“MAP”) Policy.

This MAP Policy establishes minimum advertised price standards for wedi products in order to promote consistent brand representation and stable pricing throughout the marketplace.

This policy applies to all advertisements of wedi products within the United States and Canada.
This policy applies to all authorized distributors, dealers, retailers, and other resellers of wedi products.

1. Unilateral Policy
This MAP Policy is established unilaterally by wedi.
This MAP Policy only pertains to the advertising of wedi products; in no way does the MAP Policy restrict the actual sales price of such products.
Resellers retain full independence to set their actual selling prices at any level, including below the MAP, during bona fide sales transactions. This policy concerns advertised prices only and does not constitute resale price maintenance or any agreement to fix, maintain, or control resale prices.

wedi will act independently and unilaterally in establishing, maintaining, and enforcing this policy and will neither solicit nor consider recommendations, requests, or agreements from any reseller regarding the terms or administration of this policy.

Nothing in this policy constitutes an agreement between wedi and any reseller.

No employee, sales representative, distributor, or agent of wedi has authority to modify, waive, or grant exceptions to this MAP Policy.

All determinations concerning interpretation and enforcement of this policy remain solely within the discretion of wedi.

2. Minimum Advertised Price Standard
All wedi products have a Manufacturer’s Suggested Retail Price (“MSRP”) published by wedi through its official Illustrated Price Lists. These price lists may be updated from time to time and will be announced by wedi Corporation. The current Illustrated Price List is maintained on our website at www.wedicorp.com and reflects the most current MSRP for all products.

All MAP calculations are based on the MSRP contained in the most current Illustrated Price List published by wedi. It is the responsibility of resellers to reference the most current available price list when determining compliance with this MAP Policy.

Advertising, displaying, or otherwise communicating a price that is more than fifteen percent (15%) below the current MSRP for a product (i.e., no greater than 85% of MSRP) is inconsistent with this MAP Policy.

This policy establishes minimum advertised prices only. Resellers remain free to advertise products at any price at or above the minimum advertised price and may sell products at any price they independently determine during the course of an actual sales transaction.

3. Applicability to Advertising
This MAP Policy applies to all forms of advertising or public display of pricing for wedi products outside of a physical retail location, including but not limited to:
• Flyers, newspapers, magazines, and catalogs
• Printed marketing materials or direct mail
• Email marketing campaigns
• Internet websites and e-commerce platforms
• Online marketplaces and third-party selling platforms
• Social media platforms including but not limited to Facebook, Instagram, TikTok, LinkedIn, and YouTube
• Digital advertisements, banner ads, and search engine advertising
• Any other publicly accessible promotional media displaying price information

This policy does not apply to pricing displayed exclusively within a physical retail location, including:
• In-store displays
• Shelf tags or labels
• Point-of-sale signage
• Barcodes or packaging labels that merely state a selling price

4. Publicly Displayed Price Standard
Any price for a wedi product that is publicly visible to a consumer outside of a physical retail location prior to the final stage of a sales transaction is considered an advertised price and must comply with this MAP Policy.

This includes pricing displayed on websites, marketplace listings, search results, product listing pages, digital advertisements, or other publicly accessible online content.


5. Internet and E-Commerce Advertising
Prices displayed on internet websites, e-commerce platforms, or other publicly accessible online environments are considered advertised prices and must comply with this MAP Policy.
Once a product is placed in a customer’s online shopping cart, or during the checkout process of an online transaction, the price displayed at that stage is no longer considered an advertised price and may be adjusted at the reseller’s discretion.

6. Social Media Advertising
Pricing displayed in social media posts, sponsored content, product tags, or social commerce features is considered advertising and must comply with this MAP Policy.

7. Promotional Offers and Bundled Products Advertising that includes promotional incentives such as:
• Free goods
• Bundled products
• Rebates or gift cards
• Coupons or promotional credits
• Volume discounts or package pricing
that result in the effective advertised price of a wedi product being more than fifteen percent (15%) below the Suggested Retail Price is inconsistent with this MAP Policy.

Advertising the availability of volume discounts without stating a specific price is permitted.
Advertisements that include strikethrough pricing, reference pricing, or percentage discount claims that imply pricing below the minimum advertised price are also inconsistent with this MAP Policy.

Advertising free shipping does not constitute a violation of this policy, provided that such promotion does not effectively reduce the advertised price of the wedi product below the applicable MAP threshold.

8. Competitive Advertising Language
Nothing in this MAP Policy restricts a reseller from using general competitive marketing language such as:
• “Lowest price”
• “Call for price”
• “Price match guarantee”
• “We will meet or beat a competitor’s price”
provided that no advertised price violates the minimum advertised price requirements of this policy.

9. Brand, Trademark, and Intellectual Property Usage
All wedi trademarks, logos, product images, marketing materials, and other intellectual property are the exclusive property of wedi.
wedi's trademarks are protected under applicable laws, including the U.S. Lanham Act (15 U.S.C. § 1051 et seq.) and the Canadian Trademarks Act (R.S.C., 1985, c. T-13). To maintain the validity and enforceability of these trademarks, wedi must exercise quality control over their use, including ensuring that advertising associated with the marks upholds the brand's reputation and perceived value. Compliance with this MAP Policy is a key element of such quality control.

Authorized resellers may use these materials only in accordance with wedi brand guidelines and with written authorization from wedi.

Use of wedi trademarks, logos, or marketing materials in connection with advertising that promotes pricing inconsistent with this MAP Policy is prohibited and may constitute trademark infringement, dilution, or passing off under applicable laws.

Authorization to use wedi trademarks or marketing materials is limited to resellers in good standing with this MAP Policy. Non-compliance may result in immediate revocation of any license or authorization to use wedi's intellectual property, and wedi reserves the right to pursue legal remedies for unauthorized use, including claims for infringement or dilution.

10. Third-Party Marketplace Sales
Advertising or offering wedi products for sale on third-party marketplace platforms
(including but not limited to Amazon, eBay, Walmart Marketplace, or similar platforms) using wedi trademarks, images, or marketing materials is permitted only for authorized resellers operating in compliance with this MAP Policy and other applicable wedi policies.

wedi recognizes that many authorized distribution partners operate online sales channels. This MAP Policy is not intended to restrict lawful online sales of wedi products but is intended solely to establish consistent standards for advertised pricing across all sales channels.

wedi reserves the right to restrict or prohibit the use of its intellectual property on such platforms by any reseller that is not in compliance with this MAP Policy. This includes notifying marketplaces of unauthorized trademark use, which may lead to listing removals or account restrictions under platform policies and applicable trademark laws.

11. Pricing Transparency
Advertised prices must not be presented in a manner that obscures the effective selling price of the product.

If freight charges, handling fees, surcharges, or other additional costs apply, such charges must be clearly communicated to the customer and must not be used to circumvent the intent of this MAP Policy.

12. Enforcement
wedi reserves the right to determine, in its sole discretion, whether a reseller has advertised products in violation of this MAP Policy.
wedi may monitor compliance through publicly available sources and third-party tools.
Upon identification of a potential violation, wedi will generally provide written notice and a reasonable opportunity to correct the issue before taking further action. However, wedi reserves the right to act immediately in cases of egregious, repeated, or intentional violations.

Corrective actions may include, but are not limited to:
• Cancellation of pending or unfulfilled orders
• Refusal to accept new orders
• Suspension or permanent revocation of reseller privileges
• Revocation of authorization to use wedi trademarks, logos, marketing materials, or intellectual property, which may include pursuing claims for trademark infringement, dilution, or other intellectual property violations under U.S. and Canadian laws.
• Reevaluation or termination of the business relationship with the reseller

wedi will enforce this policy at its sole discretion and assumes no liability related to such enforcement.

13. Policy Administration
This MAP Policy is administered solely by wedi.

wedi sales personnel are not authorized to discuss enforcement decisions relating to other resellers.

14. Policy Modifications
wedi reserves the right to modify, suspend, or discontinue this MAP Policy at any time.
wedi may also designate promotional periods during which the terms of the MAP Policy may be temporarily modified or suspended.
Any such changes or promotional exceptions will be communicated by wedi in writing and will be time-limited.

15. Governing Law
This MAP Policy is governed by the laws of the United States (including applicable federal antitrust laws such as the Sherman Act and federal intellectual property laws) and, where applicable to Canadian resellers, the laws of Canada (including the Competition Act
(Canada) and applicable intellectual property laws), without regard to conflict of laws principles.

16. Effective Date
This MAP Policy is effective March 20, 2026, and supersedes all previously issued MAP policies.
